By creating an account or using Ugwo by Suwebatu ("the Service"), you agree to these Terms on behalf of yourself and the organisation you represent. If you do not agree, do not use the Service.
The Service is a business operations platform for small and medium businesses, covering billing and collections, payroll, and statutory compliance: creating, approving, sending and collecting payment on invoices; calculating employee remuneration, deductions and employer obligations; and recording statutory obligations, their due dates and evidence of remittance, together with the related records (clients, products, employees, receipts, reports). It records and tracks payments your clients make to your own bank accounts; we are not a payment processor for those invoices and never hold your clients' funds. Payroll and compliance calculations are tools for your own use and do not constitute accounting, tax or legal advice; responsibility for what is filed and paid remains yours. Features vary by subscription plan.
You must provide accurate information and keep your login credentials confidential. You are responsible for activity under your account. Multi-factor authentication, where enabled, must not be disabled without understanding the security trade-off.
New organisations receive a free trial period stated at sign-up. After the trial, continued use requires an active paid subscription, billed in advance for the interval shown at checkout, via our payment processor (Paymish). If the trial ends or payment is not received, access to the application is suspended: you can still sign in, view your subscription, pay, and export your organisation's data, but the billing, payroll and compliance features are unavailable until the subscription is active again. Your data is not deleted on suspension (see Privacy Policy for retention). Prices may change with notice before your next billing cycle. Fees already paid are non-refundable except where required by law.
You own the invoices, client records, and other content you create. You grant us the right to process it solely to provide the Service (see our Privacy Policy). You are responsible for the accuracy of tax, legal, and financial details you enter.
No unlawful, fraudulent, or abusive use; no attempting to breach another organisation's data; no reverse engineering or reselling the Service without written agreement.
These are two different things and the difference matters. Cancelling a subscription stops the billing; your access runs to the end of the period you have paid for and your records stay where they are. Closing the account is the end of it: the account holder starts it from Settings, and it runs 30 days later so a closure started by mistake, or by somebody who should not have, can be undone. We will show you exactly what is kept and for how long before you confirm, and email you the same list afterwards. We may suspend or close an account for breach of these Terms, for non-payment, or for unlawful use. Whatever ends the account, the records the law requires us to keep are kept for the periods set out in the Privacy Policy, and everything else about you is erased.
The Service is provided "as is". We are not a substitute for professional tax, legal, or accounting advice - review generated invoices and tax figures before relying on them. To the extent permitted by law, our liability is limited to the fees you paid in the preceding 12 months. Nothing in these Terms limits liability for fraud, wilful misconduct, or anything else the law does not allow us to limit.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute not resolved informally is subject to the exclusive jurisdiction of the Nigerian courts.
We may update these Terms; material changes will be notified by email or in-app before they take effect.
